By accessing or using the OnlyPhonics website and services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

Description of Service

OnlyPhonics provides a Reading Snapshot service that generates personalized reading diagnostic reports based on information you provide about a child's reading behaviors. The Service is designed to help parents, guardians, and educators identify reading development needs and receive tailored recommendations.

The Service is currently in a pre-launch phase. Features, availability, and functionality may change without notice. We make no guarantees about the continuous availability of the Service.

User Eligibility and Responsibilities

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

You agree to:

• Provide accurate, current, and complete information when using the Service
• Use the Service only for lawful purposes and in accordance with these Terms
• Not use the Service in any way that could damage, disable, or impair the Service
• Not attempt to gain unauthorized access to any part of the Service
• Not use automated systems or software to extract data from the Service

Intellectual Property Rights

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, images, software, and diagnostic algorithms, are owned by OnlyPhonics, Juggle Learning, or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any content from the Service without our prior written permission, except as necessary to use the Service for its intended personal, non-commercial purpose.

User Content and License

When you provide information through the Service (such as a child's name, age, and reading observations), you grant OnlyPhonics a non-exclusive, worldwide, royalty-free license to use, process, and store this information solely for the purpose of providing the Service to you.

You represent and warrant that you have the necessary rights and permissions to provide any information about children in your care, and that such information does not violate any third-party rights or applicable laws.

Disclaimers and Limitations

Educational Tool, Not Professional Advice

The Reading Snapshot service is an educational tool designed to provide general information and recommendations. It is NOT a substitute for professional educational assessment, diagnosis, or intervention by qualified educators, psychologists, or healthcare providers.

If you have concerns about a child's reading development, learning disabilities, or educational needs, please consult with qualified professionals such as teachers, reading specialists, educational psychologists, or pediatricians.

No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results or recommendations provided will be accurate, complete, or reliable
• Any errors in the Service will be corrected
• The Service will meet your specific requirements or expectations

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONLYPHONICS, JUGGLE LEARNING, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS LESS.

Indemnification

You agree to indemnify, defend, and hold harmless OnlyPhonics, Juggle Learning, and their officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another party.

The Service may contain links to third-party websites or services that are not owned or controlled by OnlyPhonics. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of any third-party content, goods, or services.

Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Any disputes arising out of or related to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court to protect intellectual property rights.
